Welcome to Magency (the “Platform”), which is owned and operated by Galaxyway AI UK Ltd (“Magency”, “we”, “us”, or “our”). Magency provides creator community features including private group chat services, voice and video services, live streaming experiences, virtual gifting tools, and related features (collectively, the “Services”).
These Terms of Use (“Terms”) govern your access to and use of Magency’s mobile applications, websites (including any informational website operated by Magency), and other products and services we provide (collectively, the “Services”). By downloading, installing, accessing, posting to, interacting with, or using our Services, you agree to these Terms, our Privacy Policy, and our Community Guidelines (including any additional guidelines and future modifications). If you do not agree, do not use the Services.
We may change these Terms from time to time. If we make changes, we will update the “Last Updated” date above. Unless stated otherwise, changes are effective immediately upon posting. Your continued use of the Services confirms acceptance of the updated Terms. If you do not agree, you must stop using the Services.

2. Eligibility; User Accounts and Account Security
2.1 Age Requirement
You must be at least 18 years old (or the age of legal majority where you live, if higher) to use the Services. Users under 18 are strictly prohibited from registering or using the Services. By creating an account, you represent and warrant that you meet this requirement.
2.2 Account Registration
To access certain features, you must create an account. You agree to provide accurate, complete, and up-to-date information and promptly update it if it changes. We may use verification methods such as SMS, email, or other authentication methods. You agree to receive verification messages/codes and related communications.
2.3 Username Rules
We may reject, reclaim, suspend, or change usernames at our sole discretion (including to address impersonation, legal claims, trademark issues, or community safety concerns). You must not use a username that infringes third-party rights or misleads others.
2.4 Account Security
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorised access.
2.5 No Transfers / No Sales
You must not buy, sell, rent, lease, or transfer your account (or any aspect of it, including your username), and your account is non-transferable.
2.6 Deactivation and Inactive Accounts
You may request account deactivation by contacting contact@magency.co.uk. We may require reasonable verification to confirm your identity.
We may suspend, close, reclaim, or delete accounts that are inactive for six (6) months or longer, or where we believe there is a violation of these Terms, our Community Guidelines, or applicable law.
2.7 Content Loss Warning
If your account is deactivated or terminated, you may lose access to content or information associated with your account. You are responsible for saving copies of any content you wish to retain.
3. Communications
You agree to receive communications from us electronically (e.g., by email, SMS, push notifications, in-app notices, or messages). You agree that such communications satisfy legal requirements that communications be in writing.
You agree not to use the Services to send unsolicited marketing messages or spam. If you believe spam originates from Magency, contact contact@magency.co.uk.
4. User Content; Licences
4.1 Your Content
“User Content” means any content you create, upload, post, stream, transmit, message, or otherwise make available through the Services (including text, images, audio, video, livestreams, recordings, comments, private messages, and metadata).
You are solely responsible for your User Content and represent and warrant that you have all necessary rights to post it and to grant the rights described in these Terms.
4.2 Licence You Grant to Magency
By providing User Content, you grant Magency a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to host, store, use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and create derivative works of your User Content solely for purposes of operating, providing, improving, securing, and promoting the Services, including making your content available to other users based on your settings and actions.
4.3 Live Streams and Participation
If you host live sessions, rooms, or events, you are responsible for ensuring your content and conduct comply with these Terms, the Community Guidelines, and applicable laws, including the age requirement.
4.4 Removal of Content
We may remove, restrict, disable access to, or delete User Content at any time if we believe it violates these Terms, Community Guidelines, or applicable law, or to protect the Services and our users.
5. Prohibited Conduct
You agree not to violate any law, contract, intellectual property right, or other third-party right, and you are solely responsible for your conduct while using the Services. You must not (and must not attempt to):
- Harass, threaten, abuse, intimidate, stalk, or harm others
- Impersonate any person/entity or misrepresent affiliation
- Use another user’s account without authorisation
- Post illegal content or engage in unlawful activity
- Infringe intellectual property, privacy, or publicity rights
- Sell, resell, or commercially exploit the Services except as expressly permitted by Magency
- Copy, reproduce, distribute, publicly perform/display the Services except as authorised
- Reverse engineer or attempt to bypass security or access restricted areas
- Use bots, scrapers, data-mining tools, or automated extraction methods
- Interfere with or disrupt the Services (spam, abuse, DDoS, etc.)
- Upload viruses, malware, or harmful code
- Attempt to manipulate coin/gift systems, creator earnings, engagement, or payouts
- Encourage or facilitate violations of these Terms or the Community Guidelines
This list is not exhaustive. We reserve the right to determine violations and take action including warnings, restrictions, suspension, or termination.
6. Ownership; Limited Licence
The Services (including software, design, features, branding, and all non-user content) are owned by Magency and/or its licensors and are protected by applicable law.
Subject to your compliance with these Terms, Magency grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for personal, lawful purposes.
7. Trademarks
Magency, Galaxyway AI UK Ltd branding, and all related logos, names, slogans, and the look and feel of the Services are trademarks owned by Magency or its licensors and may not be used without our prior written permission.
8. Feedback
If you submit feedback, suggestions, or ideas (“Feedback”), you agree we may use it without restriction or compensation. Feedback is non-confidential.
9. Repeat Infringer Policy; Copyright Complaints
We respect intellectual property rights and may remove content or terminate accounts of repeat infringers where appropriate.
To report infringement, contact contact@magency.co.uk with sufficient information for us to assess and process your complaint.
10. Third-Party Content and Services
The Services may include or rely on third-party products, services, links, content, or integrations (including payment processors) (“Third-Party Services”). Your use of Third-Party Services is at your own risk and subject to those third parties’ terms. Magency does not endorse and is not responsible for Third-Party Services.
11. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Magency, Galaxyway AI UK Ltd, and their officers, directors, employees, contractors, affiliates, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- your access to or use of the Services
- your User Content or Feedback
- your breach of these Terms or the Community Guidelines
- your violation of any law or the rights of a third party
12. Disclaimers
Your use of the Services is at your sole risk. The Services are provided “as is” and “as available” without warranties of any kind (express or implied), including fitness for a particular purpose, merchantability, or non-infringement.
We do not guarantee the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.
13. Limitation of Liability
To the fullest extent permitted by law, Magency and its affiliates will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or loss of profits, revenues, data, goodwill, or other intangible losses.
To the fullest extent permitted by law, Magency’s total liability for any claim arising out of or relating to these Terms or the Services is limited to the greater of:
- £100, or
- the amount you paid to Magency for Paid Services in the 12 months before the event giving rise to the claim.
Nothing in these Terms limits liability where it cannot be excluded under law.
14. Release
To the fullest extent permitted by law, you release Magency and its affiliates from claims arising out of disputes between users and/or the acts or omissions of third parties.
15. Transfer and Processing of Data
Magency may process and store information in the UK and/or other countries where we or our service providers operate. Where required, we will use appropriate safeguards for international transfers as described in our Privacy Policy.
16. Dispute Resolution; Governing Law and Jurisdiction
- These Terms are governed by the laws of England and Wales.
- Before filing a claim, you agree to contact us at contact@magency.co.uk and attempt to resolve disputes informally.
- Subject to mandatory consumer protections, you agree that the courts of England and Wales will have jurisdiction over disputes arising out of or relating to these Terms or the Services.
17. Fees; Paid Services; Virtual Coins, Virtual Goods and Virtual Gifts
17.1 Paid Services
Some Services are free. Other features may require payment (“Paid Services”), including subscriptions, premium features, and the purchase of Virtual Coins, Virtual Goods, and Virtual Gifts.
17.2 Virtual Coins
Magency may offer a virtual currency (“Virtual Coins”) that users can purchase using “real money” (fiat currency) through the App Store, Google Play, or other authorised payment methods as permitted by Magency.
Virtual Coins:
- are licensed, not sold
- have no monetary value outside Magency
- are not refundable or exchangeable except where required by law or the applicable store/platform’s policies
- may not be transferred, sold, traded, or exchanged outside the Services
- may only be used within Magency as permitted (e.g., sending gifts, accessing features)
We may change the pricing, availability, or features of Virtual Coins at any time.
17.3 Virtual Goods and Virtual Gifts
“Virtual Gifts” and “Virtual Goods” are digital items available within the Services, often purchased or used via Virtual Coins.
You acknowledge:
- Virtual Gifts/Virtual Goods are non-transferable outside the Services
- purchases are final and non-refundable except where required by law or by applicable platform policy
- we may modify, manage, restrict, or discontinue Virtual Gifts/Virtual Goods at any time
17.4 Fraud, Abuse, and Chargebacks
If we detect suspected fraud, abuse, or manipulation involving Virtual Coins/Gifts (including chargeback abuse), we may:
- remove coins or virtual items
- suspend gifting features
- restrict withdrawals
- suspend or terminate accounts
- take other steps as necessary, subject to applicable law
18. Peer-to-Peer (P2P) Transaction Guidelines
Where Magency enables value transfers (e.g., fans supporting creators), users must comply with all applicable laws. Transactions occur at users’ own risk and Magency does not mediate disputes between users relating to P2P transactions.
19. Creator Earnings, Withdrawals, and Payouts (Bank / PayPal)
19.1 Creator Earnings
Creators may earn amounts derived from fan payments (including gifts, subscriptions, paid access, or other features) (“Creator Earnings”). Creator Earnings are subject to:
- these Terms
- Community Guidelines
- platform rules (Apple/Google) where applicable
- payment processor rules
- applicable law and regulatory requirements
19.2 Identity Verification and Compliance
To withdraw Creator Earnings, creators may be required to complete identity verification (KYC), provide tax information, and comply with anti-fraud/anti-money laundering checks where applicable.
19.3 Withdrawals and Payout Methods
Creators may request withdrawals of eligible Creator Earnings to:
- a verified bank account, and/or
- a verified PayPal account
We may impose:
- a minimum withdrawal threshold
- processing times
- transaction fees (if any)
- limits based on risk, compliance, or account standing
We may change payout methods or requirements at any time.
19.4 Refunds and Chargebacks
If a user obtains a refund or chargeback relating to a payment that generated Creator Earnings, we may:
- deduct an equivalent amount from your Creator Earnings
- set-off against future earnings
- delay or withhold payouts to cover negative balances and fees
- restrict monetisation features while investigating
19.5 Withholding / Delays / Forfeiture
We may withhold, delay, or forfeit Creator Earnings if we reasonably suspect:
- violations of these Terms/Guidelines
- fraud, money laundering, illegal activity
- engagement/payment manipulation
- repeated chargebacks or suspicious patterns
- violations of store/payment processor rules
- legal claims, liens, or regulatory demands
Where legally permitted, we may refund impacted user payments where appropriate.
19.6 No Guarantee of Earnings
We do not guarantee creators will earn any minimum amount, or that any monetisation feature will remain available.
20. Modifying and Terminating the Services
- We may change, suspend, or discontinue any portion of the Services at any time. You may stop using the Services at any time.
- We may suspend or terminate your account if we believe you violated these Terms, the Community Guidelines, applicable law, or if your use poses risk to the Services or others.
21. Severability
If any provision of these Terms is unlawful or unenforceable, it will be severed and the remaining provisions will remain in effect.
22. Miscellaneous
- Our failure to enforce any right is not a waiver.
- Section headings are for convenience only.
- You may not assign these Terms without our consent; we may assign these Terms as part of a corporate transaction.
- Communications and transactions may be conducted electronically.
